1. Acceptance of Terms

By accessing or using Submission Management ("the Service"), you agree to be bound by these Terms & Conditions. If you do not agree to these terms, you may not use the Service. These terms apply to all users, including organizations and their authorized representatives.

2. Description of Service

Submission Management is a cloud-based platform that enables filing agents and organizations to manage, validate, schedule, and submit filings to the U.S. Securities and Exchange Commission's EDGAR® system. The Service includes features such as XSD validation, delegation management, bulk filing, and filing status tracking.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials, including your password, two-factor authentication devices, and EDGAR® tokens. You agree to notify us immediately of any unauthorized use of your account. Each organization operates within an isolated workspace, and you are responsible for managing user access within your organization.

4. EDGAR® Filing Responsibilities

You acknowledge that Submission Management is a filing management tool and that you remain solely responsible for the accuracy, completeness, and timeliness of all filings submitted through the Service. Submission Management does not provide legal, financial, or compliance advice. While the Service performs XSD schema validation, validated filings may still be suspended by EDGAR®. You are encouraged to use TEST submissions before submitting LIVE filings.

5. Intellectual Property

The Service, including its design, features, and underlying technology, is the intellectual property of Submission Management. You retain ownership of all filing documents and data you upload to the platform. You grant Submission Management a limited license to process your data solely for the purpose of providing the Service.

6. Data Security

We implement industry-standard security measures including AES-256 encryption for sensitive credentials, HTTPS/TLS for data in transit, two-factor authentication, and role-based access control. However, no method of electronic storage or transmission is 100% secure, and we cannot guarantee absolute security.

7. Limitation of Liability

To the maximum extent permitted by law, Submission Management shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to filing delays, EDGAR® rejections, data loss, or business interruption. Our total liability shall not exceed the amount paid by you for the Service in the twelve months preceding the claim.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. EDGAR® submissions are subject to the SEC's operating hours and system availability. Scheduled maintenance windows will be communicated in advance when possible.

9. Termination

Either party may terminate this agreement at any time. Upon termination, your access to the Service will be revoked, and your data will be retained for a reasonable period to allow for export. We reserve the right to suspend or terminate accounts that violate these terms or engage in unauthorized use.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these terms or your use of the Service shall be resolved through binding arbitration in accordance with applicable arbitration rules.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Service. Your continued use of the Service after changes are posted constitutes acceptance of the modified terms. We will make reasonable efforts to notify users of material changes.
